Terms of Use Agreement

This Grooper xChange Agreement (the “Agreement”) provides important information about your use of BIS’s Grooper xChange website (“Grooper xChange”), and is an agreement between you and Business Imaging Systems, Inc. dba BIS (“BIS”) that governs your use of Grooper xChange.

IF YOU USE GROOPER XCHANGE, YOU MUST AGREE TO THIS AGREEMENT, WITHOUT CHANGES. BY ACCEPTING THIS AGREEMENT OR CONTINUING TO ACCESS OR USE GROOPER XCHANGE, YOU ARE AGREEING TO THESE TERMS ON BEHALF OF YOURSELF OR ANY ENTITY YOU REPRESENT, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY, CAPACITY AND RIGHT, TO AGREE TO THESE TERMS ON BEHALF OF YOURSELF OR ANY SUCH ENTITY. GROOPER XCHANGE IS NOT FOR MINORS. IF YOU OR ANYONE IN YOUR IMMEDITE PRESENCE ARE A MINOR OR DO NOT AGREE WITH ANY OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS OR USE GROOPER XCHANGE.

Changes / Updates. At any time, BIS may change, add, or remove any part of this Agreement or any part of the services and features provided at Grooper xChange. If it does so, BIS will update the Agreement at www.xChange.Grooper.com.

IF ANY UPDATE IS UNACCEPTABLE TO YOU, YOU SHOULD STOP USING GROOPER XCHANGE. YOUR CONTINUED USE OF GROOPER XCHANGE INDICATES YOUR ACCEPTANCE OF THIS AGREEMENT AND ANY CHANGES TO IT.

License. Subject to the terms of, and your compliance with, this Agreement, BIS grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use Grooper xChange solely for viewing content and posting your own content.

Terms of Use. In addition to the terms and conditions in this Agreement, all use of Grooper xChange is governed by BIS’s Privacy Policy and any other applicable terms of use (collectively “Terms of Use”) set forth at bisok.com or grooper.com, which are incorporated herein. This Agreement will govern if it conflicts with any other terms. All capitalized definitions used in other facets of the Terms of Use will have the same meaning in this Agreement, unless otherwise specified in this Agreement. The definitions of “Use” and “Website” now include Grooper xChange.

YOU MUST BE AT LEAST THE AGE OF MAJORITY IN YOUR STATE TO ACCESS OR POST TO GROOPER XCHANGE.

YOU MAY NOT RESELL ANY CONTENT FOUND AT GROOPER XCHANGE.

YOU AGREE TO NOT USE THE CONTENT OF GROOPER XCHANGE TO PROMOTE YOUR OWN PRODUCTS OR SERVICES.

YOU MAY NOT RECORD OR SCREEN CAPTURE ANY AUDIO OR VIDEO TRAINING CONTENT WHICH IS LICENSED AND SHARED SOLELY AS PART OF A PAID TRAINING SUBSCRIPTION.

YOU AGREE TO NOT CIRCUMVENT ANY ACCESS CONTROLS OR RESTRICTIONS NOR DISRUPT GROOPER XCHANGE IN ANY WAY.

CONTENT AND VIEWS EXPRESSED ON GROOPER XCHANGE ARE NOT NECESSARILY ENDORSED BY BIS.

Support. BIS does not provide formal product support on Grooper xChange. BIS and other users may provide general product or technical information; however, any information that is provided by BIS, its employees or its users is offered on an “AS IS” basis without warranties of any kind. This disclaimer is in addition to the disclaimers and limitations of liability set forth in BIS’s Privacy Policy or other facets of the Terms of Use.

Training Content. Any recording of video or audio (including screen capture or other methods) is prohibited. The training content in the Grooper Video Library is licensed and shared solely as part of BIS’s training subscription program.

Submissions. BIS does not prescreen comments, information, pictures or posts submitted by users of Grooper xChange (“Submissions”). BIS retains the right, but not the responsibility, to edit or remove any Submission, including those deemed by BIS to violate the Agreement. BIS will make good faith efforts to investigate allegations that Submissions violate the Agreement but (a) makes no warranty to you that it will edit, remove, or continue to permit the display of any specific Submission, whether or not subject to such allegations, and (b) will have no liability whatsoever for editing, removing, or continuing to permit the display of Submissions. If you do not want any content of your Submission to be shared, then avoid sharing more information than necessary or anything that is confidential.

Code of Conduct for Submissions. You hereby agree to adhere to the following code of conduct regarding Submissions:

Stay on topic. Grooper xChange is here to help people use the Grooper software more effectively, therefore, do not add Submissions about other topics. Constructive feedback is always welcome.

Be polite and lawful. Everyone should feel comfortable reading Submissions and participating in discussions. Do not include in your username or Submissions any material that is abusive, defamatory, discriminatory, harassing, harmful, hateful, indecent, intimidating, libelous, objectionable, obscene, offensive, pornographic, sexually explicit, threatening or vulgar.

No polls. Do not post polls or surveys, or links to such polls or surveys.

No advertising. Do not use Grooper xChange to sell or market your products. If any portion of your Submissions, including any link or URL, results in any accrual of compensation or benefit to you, this is discouraged, and you must note this in your Submissions.

Be original. Submissions must be your own work or work to which you have a license. You warrant and represent that you own or otherwise control all rights to the information contained in your Submissions.

Takedown and Enforcement. BIS reserves the right to delete or disable any account or Submissions when appropriate.

BIS’s License to Use Submissions. By sharing Submissions to Grooper xChange you hereby agree to grant BIS a perpetual, royalty-free, non-exclusive worldwide right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, play, profit from, make available to the public, and exercise all copyright and publicity rights with respect to Submissions. If your Submissions include any product suggestions or new implementation ideas, you hereby agree that: (1) your Submissions and contents will automatically become licensed to, and the property of, BIS, without any compensation to you; (2) BIS may copy, modify, publish, redistribute or use such Submissions and contents for any purpose and in any way, including implementation in products or services; and (3) BIS is not obligated to review Submissions or keep Submissions confidential. If you do not want to grant to BIS such rights, do not send Submissions to Grooper xChange.

Indemnification Regarding Submissions. You are fully responsible for the content of your Submissions. Furthermore, you agree to indemnify, defend and hold harmless BIS, its subsidiaries, employees and affiliates for all third-party claims or expenses arising out of or related to your Submissions. This indemnification is in addition to the other indemnification obligations set forth in other facets of the Terms of Use.

Reporting Copyright Infringement. If you are a content owner and believe that any Submissions infringe your copyright, please report the matter to BIS Legal at [email protected].

Cookies. BIS may use “cookies” and other technologies to track user activity within Grooper xChange. Cookies are small text files that are placed on your computer or mobile phone when you browse virtually any website. BIS uses cookies to add functionality to our Website, including the ability to add your Submissions to the Website. There is no way to prevent these cookies being set other than to not use the Website. Cookies help BIS improve your experience and BIS products and services. BIS’s use of this tracking information will conform to BIS’s Privacy Policy. To submit information to Grooper xChange, each user must create a unique username and password. Please review BIS’s Privacy Policy, which describes how BIS collects, uses and protects your personal information. Cookies help:

• Make this Website work as expected;
• Issue badges for activity, posts and reactions;
• Improve Website content, speed and security; AND
• Market BIS solutions more efficiently and price BIS products and services affordably.

BIS does NOT use cookies to:

• Collect any personally identifiable information (PII) or unauthorized payment info or any other sensitive information (without your express permission);
• Sell or pass data to advertisers;
• Provide personally identifiable information to third parties; NOR
• Pay click rewards or sales commissions.

BIS’s Permission to Use Cookies. You control the use of cookies through the settings on your browser and your use of the Website. You can switch cookies off by adjusting your browser settings or remove cookies from the Website, however doing so will likely mean that the Website will not work as expected. If you are concerned about cookies containing “spyware” you can rest assured that BIS does not use spyware, and anti-spyware software automatically deletes any cookies considered to be spyware or otherwise invasive.

Visitor Statistics. BIS uses Google Analytics along with cookies to compile statistics including visits to this Website, the technology being used (for functionality purposes), time spent on the Website and page views. This helps BIS to continuously improve the Website. Such “analytics” technology reports (anonymously) how users reached this Website and any return visits.
